When you sell all or part of your shares in the company, not merely your business assets, you will need a Sale of Shares Agreement. This agreement contains, inter alia, provisions relating to: i) Purchase price; ii) Payment of the Purchase price; iii) The relevant closing provisions; iv) Warranties by the Seller; v) General Warranties (included in an Annexure) and Breach provisions.
